Relocation assistance and/or visa support are not offered for this role. /p h3Who We Are Looking For /h3 pAt Solenis we are searching for a bLegal Counsel /b to join our EMEA Legal team in a highly dynamic and international environment. We are looking for a highly motivated, independent and well-organized legal professional, with a genuine interest in cross-border legal matters. The ideal candidate will demonstrate strong attention to detail, the ability to prioritize effectively, and a proactive, solution-oriented approach to identifying and addressing legal challenges. The primary responsibility of this role is to provide legal support to business stakeholders across EMEA, under the guidance of the Senior Regional Business Counsel, EMEA. Success in this role requires a commitment to delivering high-quality results and the ability to work independently in a fast-paced environment. /p h3Responsibilities /h3 ul liNegotiate, prepare, revise, and terminate commercial contracts including, but not limited to, sales and rebate contracts, distributor and agency contracts, toll manufacturing contracts,



procurement contracts, non-disclosure agreements. /li liHandle disputes and coordinate litigation proceedings, facilitate settlement of customer pre-suit litigation claims. /li liProvide legal counsel on matters relating to debtor/creditor rights; facilitate resolution of collection and bankruptcy matters. /li liKey participant in business clients’ MA deal teams, provide legal counsel in connection with the establishment and management of joint ventures and other commercial relationships, support and lead post-closing integrations. /li liProvide front-line counsel for business clients on the Solenis Global Standards of Business Conduct and compliance questions and issues relating to, for example, the Foreign Corrupt Practices Act, UK Bribery Act 2010 or equivalent local laws and regulations; provide proactive compliance training, conduct internal investigations, and recommend remedial actions. /li liProvide legal advice to and effectively influence internal stakeholders with respect to data privacy and other privacy requirements. /li liManage front-line legal inquiries of employment and benefits, intellectual property and environmental/health/safety issues liaise with, and solicit advice from, specialists in those functional areas to address legal inquiries. /li liProvide corporate governance support. /li liManage outside counsel’s delivery of legal services (substantive content and cost oversight). /li /ul h3Education / Experience / Requirements /h3 ul liMaster’s degree in law (LL.M) or equivalent. /li liAdmitted to the bar in a European jurisdiction. /li liMinimum of 5 years of postgraduate legal experience in a reputable law firm and/or as an in-house counsel, providing legal advice to regional or global businesses. /li liFluency in English is required; working knowledge of additional languages is a strong advantage. /li liSolid, broad-based legal expertise across commercial and contract law, corporate governance,



employment law, data protection and privacy (including GDPR), and internal investigations. /li liDemonstrated experience advising across multiple jurisdictions, with a strong understanding of cross-border legal considerations. /li liStrong business acumen, with the ability to deliver pragmatic, risk-based legal advice that supports commercial objectives. /li liExcellent interpersonal and stakeholder-management skills, with a proven ability to collaborate effectively across functions, geographies, and levels of seniority. /li liComfort operating in a dynamic, fast-paced environment, including the ability to adapt quickly and manage competing priorities. /li liHighly developed analytical, critical-thinking, and problem-solving skills, with sound judgment and decision-making capability. /li liExcellent written and oral communication skills, with the ability to explain complex legal issues clearly and concisely to non-legal audiences. /li liProficient in Microsoft Office Suite, including Word, Excel, and PowerPoint. /li liWillingness to travel domestically and internationally, as needed /li /ul h3What We Offer (Poland) /h3 ul liPrivate medical care by Lux-MED /li liLife insurance and Travel insurance /li liEmployee retirement plan (PPE) after trial period /li liSports card (Multisport) - partially employer-funded /li liEmployee Assistance Program for Employees and Families /li /ul pWe understand that candidates will not meet every single desired qualification.
