As M&A; Counsel, you will support SD Worx’s mergers and acquisitions activities across Europe, including legal due diligence, transaction documentation, signing and closing processes, and post-closing legal integration. You will work closely with the M&A; team, finance, business stakeholders, outside counsel and other legal & compliance functions.

This role is ideal for a legal professional with a strong interest in corporate transactions, excellent drafting and coordination skills, and the ambition to grow in an international corporate legal environment.

You will report to the Director Specialised Legal and work as part of an international legal team with colleagues across Europe and beyond.

Which key responsibilities will you have?

- Support the legal workstream of M&A; transactions across Europe, from initial assessment and due diligence through signing, closing and post-closing integration.

- Conduct and coordinate legal due diligence, identify key legal risks, prepare clear findings and work with internal stakeholders and outside counsel on mitigation actions.

- Draft, review and support the negotiation of transaction documents, including non-disclosure agreements, process letters, share purchase agreements, asset purchase agreements, disclosure schedules and ancillary documents.

- Manage legal transaction processes and documentation,

including signing and closing mechanics, condition precedents, corporate approvals, powers of attorney and completion actions.

- Collaborate closely with the M&A; team, finance, tax, HR, security, privacy, business stakeholders, management, outside counsel and other legal & compliance functions.

- Support the legal integration of newly acquired companies, including contract, corporate governance, compliance and legal entity follow-up actions.

- Contribute to the improvement of M&A; legal processes, templates, playbooks and best practices, and support other strategic corporate legal projects where needed.

What do you need for this role?

- You hold a Master of Laws degree obtained at a European university. A post-Master degree, LL.M. or degree obtained from a foreign university is considered a plus.

- You have about 5 years of experience as an attorney and/or in-house legal counsel, preferably with a focus on corporate law, M&A;, commercial transactions or corporate projects in an international environment.

- You communicate clearly and effectively in English, orally and in writing. Knowledge of Dutch, French or another European language is considered a plus.

- You have strong analytical, drafting and coordination skills, with the ability to translate complex legal risks into clear, practical advice.

- You are organised, accurate and able to manage several workstreams in parallel, including during transaction peaks and under time pressure.

- You are proactive, pragmatic and solution-oriented, with a hands-on mentality and a commitment to delivering high-quality work.

- You are a team player who builds trust with stakeholders, while also being able to work autonomously and take ownership of your files.

- You act with integrity, professionalism and discretion when handling confidential transaction information.

- You are open to occasional travel within Europe.

What we offer you:

- A competitive salary and benefits package.

- The opportunity to learn, grow and take ownership of meaningful legal work in an international M&A; environment.

- Excellent exposure to interesting corporate, transaction and integration work within an international, ever-expanding company.

- You will join a dynamic, fast-growing team where we share knowledge, value open communication and support personal development.

- Hybrid working, versátil working hours and the possibility to work from home or other offices.
