ROLE PURPOSE

As Corporate Lawyer, you will be handling complex situations and transactions with limited supervision, which will require you to have a structured approach to work, as well as being versátil. A significant part of the role (approximately 30%) involves leading financing transactions end-to-end: equity investments, securitisations, portfolio sales, marketplace funding platforms, loan facilities and sales of shares or participations.

PRIMARY RESPONSIBILITIES

You will support legal department in the following areas.

- Lead and manage financing transactions end-to-end (approx. 30% of the role) — equity investments, securitisations, portfolio sales, marketplace/crowdlending funding platforms, loan agreements and sales of shares or participations — drafting and negotiating the transaction documents, coordinating counterparties, external counsel and notaries, and driving each deal through to closing.
- Day to day legal and commercial consultations and the operation of a commercial group.
- Control and supervision of the group's international subsidiaries.
- To draft, review, negotiate and close all types of commercial agreements (NDAs, MOUs; loan agreements, etc.), working in conjunction with the relevant business managers.
- To identify and assess legal risk for non-standard contracts and advise the business accordingly.
- To assist in developing and drafting standard contract precedents and developing know-how.
- Draft various types board and shareholder resolutions.
- Handle day-to-day and annual corporate compliance of Spanish holding and operating entities.
- File management and documentation.




- Communicate effectively with internal departments and liaise with outside counsel as well as participate in meeting for different projects assessing the legal corporate and commercial part. .
- Advise various IDF shareeholders (finance, tax and treasury departments, management of subsidiaries) on corporate and commercial law, and corporate compliance matters, regulatory, banking, debt securitization and securitization expertise and issuance of bonds with a high value
- Participate in M&A; transaction regarding new branches or newcos, as well as formalize the inversion rounds of the corporate group.

Knowledge/Abilities

- General breadth of knowledge and demonstrated practical experience within corporate and commercial law, corporate compliance and company secretariat.
- Proven experience leading financing transactions (equity, securitisations, portfolio sales, funding platforms, loan facilities, share purchase agreements), managing negotiation, documentation and closing with multiple stakeholders.
- Excellent English communication skills, both verbal and written – 70% of the tasks are done in English

PREFERRED QUALIFICATIONS & EXPERIENCE

Education:

Master's degree in law

Experience Target:

Legal experience at a law firm or in-house, with a focus on corporate law and commercial law.
