The RoleThe Caprae Buyside Internship is a high-intensity training program for people who want a career in private equity or acquisitions. It centres on exposure to real deals, negotiation psychology and deal structuring. It does not involve passive research or slow-paced financial modelling.
Your foundation is communication: understanding founders, reading their motivation and gathering deal-relevant information. As early as four weeks in, you can support real deals and begin to understand valuation logic, structure mechanics and the sequence of an ETA transaction. We start with the human side of M&A;, because that is where deals are won.
Responsibilities
- Learn the mechanics of earnouts, seller financing, rollover equity, and reps and warranties
- Support deal structuring in the lower middle market
- Evaluate fit, feasibility and deal readiness
- Understand seller motivations versus buyer constraints
- Support live buyer and seller interactions
- Help prepare meeting notes, next steps and negotiation plans
- See real deal conversations unfold and structures adjust
- Observe how valuation gaps and structure negotiations are handled
- Understand what kills deals and what revives them
- Take part in conversations with business owners and executives and understand founder psychology
- Learn how buyers and sellers negotiate outside of textbooks
- Keep conversations structured and outcome-oriented
- See the pacing,
sequencing and psychological arc of a transaction
Pay
- This is a paid internship. Interns are paid hourly.
- Weekly performance-based bonuses are offered on top of pay. Amounts vary and are not guaranteed
- Interns who make the deal team and manage deal flow can earn up to 20% of the success fee on those deals. This is variable and not guaranteed
Progression
- Strong performance after one month can lead to work with the deal team and the research team
- Caprae prefers to hire its full-time team from the internship program. 3 interns converted to full-time roles in 2025
