At Human Talent Connection, we are looking for a Corporate / Commercial Lawyer to join a law firm specializing in providing legal advice to companies and entrepreneurs. We are seeking a professional with solid experience in Corporate and Commercial Law, accustomed to working directly with clients and capable of taking responsibility for different transactions while coordinating a small team. Responsibilities
* Provide ongoing legal advice to companies and clients.
* Participate in M&A; transactions, including due diligence and the review and drafting of LOIs and SPAs.
* Prepare and advise on mergers, demergers and other corporate transactions.
* Provide advice on Corporate Law, corporate governance and corporate secretarial matters.
* Draft and review shareholders' agreements.
* Advise entrepreneurs and companies on Venture Capital and financing transactions.
* Draft and negotiate commercial agreements, including supply, lease, leasing, agency, franchise and licensing agreements, among others.
* Review and draft agreements related to software development, terms and conditions,
website policies and basic data protection matters.
* Coordinate and manage a team of approximately 3 people. What are we looking for?
* Bachelor's Degree in Law.
* Membership of the Bar Association is essential.
* At least 3 years of professional experience.
* Solid experience in Corporate and Commercial Law.
* Minimum C1 level of English, both spoken and written.
* Ability to manage and coordinate teams.
