Why This Role Exists The role exists to lead cross-border M&A; and corporate transactions, ensure regulatory compliance in target markets, and oversee international legal entity management. It guarantees that corporate restructurings, licensing, and strategic market entries align with legal, tax, and governance standards across multiple jurisdictions. What You'll Drive M&A; and corporate transactions Support cross-border M&A; and corporate transactions across multiple geographies and jurisdictions, focusing on technology and gambling businesses. Conduct legal due diligence of targets across multiple jurisdictions. Structure transactions and market-entry projects, taking into account corporate, regulatory, tax, and financial considerations. Coordinate merger clearance, regulatory, and fiscal approvals with relevant authorities. Provide legal support throughout the transaction lifecycle, from initial structuring through closing and post-closing activities. Gambling regulatory and market entry Provide legal and regulatory support for entering and operating in regulated gambling markets. Identify and mitigate regulatory risks arising from M&A; transactions, restructurings,



and changes in ownership or control. Corporate governance and legal entity management Manage the full legal lifecycle of group entities across multiple jurisdictions, including incorporations, annual compliance, internal approvals, reorganizations, and closures. Act as the primary legal contact for external administrators, company secretaries, regulated intermediaries, and registered agents. Maintain governance registers, KYC files, group structures, and signature authorities across active legal entities. What Makes You a GR8 Fit Must-have Legally qualified in a civil or common law jurisdiction with 4+ years of relevant experience in corporate law, M&A;, corporate transactions, or legal entity management. Solid understanding of corporate governance, company law, and international structuring.
