Job Description : Corporate attorney The legal and corporate attorney will provide comprehensive legal support across corporate, governance, and ideally, insurance distribution matters. The role will act as a trusted business partner, supporting the company's strategic objectives through the provision of pragmatic, risk-based legal advice, while ensuring compliance with applicable corporate, insurance, and regulatory requirements. The idóneo candidate will combine strong expertise in corporate and commercial law with a solid understanding of the insurance sector, including insurance distribution frameworks, regulatory requirements, and governance obligations. Key Responsibilities: Supporting the Head of Legal: Commercial and Contractual Matters * Draft, review, negotiate, and manage a broad range of commercial agreements and corporate documentation. * Provide practical legal advice in relation to contracting strategies, contractual risk management, and dispute avoidance. * Promote a proactive legal culture and foster early engagement with Legal on strategic initiatives.



Corporate Governance and Secretarial Services * Provide corporate secretarial support * Coordinate the preparation and approval of annual accounts and statutory corporate filings. * Draft minutes, board resolutions, shareholder resolutions, corporate certificates, powers of attorney, and other governance documentation. * Support the appointment and interaction with auditors, notaries, registries, and other external authorities. * Manage company incorporations, corporate restructurings, amendments to articles of association, capital changes, and other corporate transactions. * Maintain corporate records and ensure ongoing compliance with applicable corporate governance requirements.
