Financial Structuring Manager
Estating | Financial Markets | Madrid or Luxembourg | Hybrid
Estating is an AI-native financial platform purpose-built to embed institutional-grade real estate investments into wealth management portfolios --- seamlessly, compliantly, and at scale.
By owning the full value chain --- from asset origination to structuring, issuance, and lifecycle management --- Estating transforms real estate into standardized, custodial-grade securities (RELINCs), enabling Financial Advisors, Family Offices, and digital platforms to access private markets efficiently.
Financial Markets (FM) sits at the core of Estating's platform --- the internal factory powering all products across all verticals. Within FM, the Structuring team turns real estate deal flow into investable, standardized securities.
The Opportunity
We are seeking a Financial Structuring Manager to join our Financial Markets team in Madrid or Luxembourg, reporting to the Head of Financial Markets.
You will be hands-on in designing and executing RELINC issuances: analysing incoming deals, building the structure, drafting the necessary issuance documentation, and taking each transaction through to closing with our legal, custody and administration partners.
This role is adecuado for a structuring professional who enjoys both the technical depth of securitization and the challenge of making structures repeatable, template-driven and automation-ready.
Your Key Responsibilities
1. Product Structuring
- Deal Analysis: Review opportunities coming from Origination and assess their suitability for a RELINC structure (asset type, cash flow profile, risks, investor fit).
- Structure Design: Design securitization structures through our Luxembourg securitization vehicle (Lux SV) and its compartments, including payout profiles, waterfalls, fees, and redemption and call features.
2. Documentation
- Issuance Documentation: Draft and review the full set of issuance documentation for each RELINC (final terms, offering and product documents) based on our standardized templates.
- Distribution Documents:
Prepare the product and disclosure documents required for distribution in coordination with Compliance.
- Legal Review: Align documentation with legal counsel and partners, manage comments and versions, and bring documents to execution-ready form.
- Documentation Files: Maintain complete, version-controlled documentation for each issuance, ready for internal approval and audit.
3. Issuance Execution
- ISIN & Settlement Set-up: Manage ISIN registration and security set-up with the relevant agents and custodians.
- Transaction Management: Coordinate each issuance end-to-end with legal counsel, SPV administration and custody partners (e.g., SIX SIS), running closing checklists and timelines.
- Structuring Sign-off: Ensure structures and documentation are consistent, compliant with applicable requirements, and ready for internal approval.
4. Standardization & Automation
- Template Library: Maintain and improve standard structures, term sheet and documentation templates to increase issuance throughput.
- Automation: Work with the Tech team to automate document generation and structuring workflows, including AI-assisted tools.
- Process Documentation: Document structuring and issuance processes so they are clear, repeatable and scalable.
5. Internal Stakeholder Support
- Origination & Distribution: Act as the structuring point of contact for deal teams and business verticals (WM, RE, DPB, FO), explaining structures and their implications.
- Approval Materials: Prepare structuring memos and supporting materials for product approval and internal committees.
6. New Product Development
As the platform grows, you will contribute to the structuring of new products, such as:
- Feeder fund / Evergreen structures
- Master Note set-up
Your Skills
Background & Experience
- Experience: 3--6 years in structured finance, securitization,
structured products or debt capital markets (e.g., investment bank, issuer, structuring boutique or advisory firm).
- Expertise:
- Securitizations, debt instruments and notes
- Drafting and review of issuance documentation (final terms, offering and product documents)
- Issuance processes (ISIN, settlement)
- SPV structures (Luxembourg a plus)
- Education: Degree in Finance, Economics, Business, Engineering, Law or a related field.
Skills & Mindset
- Technical & Analytical: Strong Excel skills; Python or similar is a plus.
- Documentation & Drafting: Strong drafting skills in English; you produce clear, complete and legally robust documentation and are comfortable working through legal comments.
- Structured & Process-Driven: You build clean, repeatable structures and processes rather than one-off solutions.
- AI & Automation-Oriented: You look for ways to automate manual documentation and structuring tasks.
- Commercial Awareness: You understand how structuring decisions impact investors, margins and scalability.
- Attention to Detail: You deliver precise documentation under tight deadlines and across parallel transactions.
Personal Requirements
- High ownership and a hands-on attitude.
- Ability to work cross-functionally in a fast-paced, startup environment.
- Strong problem-solving skills and clear written communication.
- Fluent English required; Spanish strongly preferred.
