Position Summary The Compliance Manager is responsible for supporting the development, implementation, and monitoring of IREN Spain’s compliance framework, ensuring that the company operates in accordance with applicable laws, regulations, corporate governance standards, internal policies, and ethical business principles. The role helps embed a strong compliance culture across the organization by providing practical guidance, monitoring regulatory obligations, and coordinating compliance-related controls and reporting.

Working within the Legal Department and reporting to the General Legal Counsel, the Compliance Manager supports IREN’s activities as a next-generation data center and AI cloud infrastructure company by helping manage compliance risks linked to corporate governance, whistleblowing, business ethics, third-party relationships, data protection, anti-bribery and corruption, sanctions, and internal control requirements.

Responsibilities

Reporting to the General Legal Counsel, the Compliance Manager is responsible for:

- Support the implementation and continuous improvement of IREN Spain’s compliance framework, ensuring alignment with corporate policies, applicable legal requirements, and IREN’s governance standards.
- Monitor regulatory and compliance developments relevant to IREN’s operations in Spain and assess their potential impact on internal policies, controls, and business processes.
- Coordinate compliance risk assessments, control reviews, and action plans, working with Legal, Finance, Operations, Procurement, HR, IT, and other internal stakeholders to address identified gaps.




- Provide practical guidance to business teams on anti-bribery and corruption, conflicts of interest, sanctions, third-party due diligence, gifts and hospitality, whistleblowing, and ethical business conduct.
- Manage compliance documentation, registers, evidence files, training records, and reporting materials to support internal governance, audits, and management oversight.
- Support the review of third-party onboarding and contractual compliance requirements, helping ensure that suppliers, contractors, and business partners meet IREN’s integrity, governance, and risk management expectations.
- Coordinate compliance training and awareness initiatives, preparing clear materials and communications that help employees understand their obligations and apply company policies consistently.
- Support internal investigations and whistleblowing processes, maintaining confidentiality, documenting findings, and following up on remediation actions under the guidance of the General Legal Counsel.

Requirements

- Degree in Law, Business Administration, Compliance, Finance, or a related discipline. Additional compliance, ethics, risk management, data protection, or internal control certifications will be valued.
- Minimum 6–8 years of experience in compliance, legal, risk,



internal controls, audit, or corporate governance roles, preferably in multinational, infrastructure, technology, energy, data center, or regulated environments.
- Strong knowledge of compliance frameworks, anti-bribery and corruption standards, whistleblowing procedures, third-party due diligence, sanctions screening, corporate policies, and ethics programs.
- Understanding of Spanish and European regulatory requirements relevant to compliance, corporate governance, data protection, and business integrity.
- Experience coordinating compliance controls, preparing reports, maintaining evidence, and supporting audits or internal reviews.
- Ability to work effectively with cross-functional stakeholders, translating regulatory and policy requirements into clear, practical guidance for business teams.
- Excellent analytical, organizational, communication, and documentation skills, with a high level of integrity, discretion, and attention to detail.
- Fluent English and Spanish are required; experience working in international and multi-jurisdictional environments will be positively valued.

- Compensation will be determined based on factors such as experience, qualifications, and market data for the region.
- Total Compensation package may be inclusive of annual incentive bonus, and equity (long-term incentive)
