Position Summary The General Counsel is responsible for leading IREN Spain's legal function and providing strategic legal guidance to the Board of Directors, executive leadership team, and business units. This role oversees all legal, corporate governance, compliance, regulatory, litigation, and risk management matters, ensuring that the company operates effectively while supporting its growth objectives.

The General Counsel serves as a trusted business partner, balancing legal risk with commercial opportunities and driving a proactive legal and compliance culture across the organization.

Responsibilities

Reporting to the CEO, the General Legal Counsel is responsible for:

- Advise the Board of Directors and Executive Leadership Team on legal, strategic, governance, and risk-related matters.
- Develop and lead the company’s legal strategy, ensuring alignment with business objectives and long-term growth plans.
- Oversee strategic corporate transactions, including mergers and acquisitions (M&A;), joint ventures, financings, investments, and restructurings.
- Identify, manage, and mitigate legal and regulatory risks across all areas of the business.
- Lead the company’s compliance and ethics programs, ensuring adherence to applicable laws, regulations, and corporate policies.
- Direct the negotiation, drafting, and review of complex commercial agreements, safeguarding the company’s interests while supporting business growth.
- Manage litigation, arbitration, and external counsel relationships, ensuring effective legal representation and cost-efficient outcomes.




- Lead and develop the legal team, fostering a high-performance culture, strong business partnership, and operational excellence.

Requirements

- Law Degree and qualification to practice law in a relevant jurisdiction.
- Minimum 12–15 years of legal experience, gained in leading law firms, multinational corporations, or a combination of both.
- Extensive experience in corporate law, M&A; transactions, commercial contracts, and financing transactions.
- Proven experience advising Boards of Directors and senior executive leadership teams on strategic and governance matters.
- Strong expertise in corporate governance, compliance, and risk management frameworks.
- Demonstrated leadership experience managing and developing legal teams in complex business environments.
- Experience working in international and multi-jurisdictional environments, managing cross-border legal matters and external counsel.
- Excellent commercial judgment, negotiation, communication, and stakeholder management skills, with the ability to balance legal risk and business objectives.
