The role focuses on licensing, sophisticated commercial contracting, technology, and AI/emerging technologies. The corporate counsel will also play a key role in implementing the Company's new Contract Lifecycle Management (CLM) platform. This is a full-time, on-site position based in Los Angeles and reports to the General Counsel.ESSENTIAL FUNCTIONSDraft, review, negotiate, and manage the full lifecycle of a wide variety of domestic and international commercial agreements, including technology, software, SaaS, AI and data-related agreements, e-commerce and digital platform agreements,



and confidentiality agreements.Draft domestic and international retail store licensing and distribution agreements and third-party IP collaboration agreements.Advise on and support strategic technology partnerships and technology-enabled tools.Work with our Global Privacy and Technology Legal Manager to advise on technology governance, including responsible use, risk assessments, and related policies and training.Lead global CLM implementation and develop contract templates, playbooks, clause libraries, and approval workflows.EDUCATION: Doctorate DegreeYEARS OF EXPERIENCE: 7-9 YearsQUALIFICATIONSJ.D. and active California Bar membership.7-9 years of relevant experience in a major law firm and/or in-house legal department.Excellent drafting, negotiation, and communication skills and sound business judgment, with comfort negotiating directly with stakeholders and working independently in a fast-paced environment.Significant experience with consumer products licensing and sophisticated commercial contracting.Substantive experience structuring and negotiating complex technology, SaaS, software, cloud, and AI agreements.
