Main Tasks
Provide general legal support across a broad range of corporate, commercial and regulatory matters, with a particular focus on corporate law, corporate governance and corporate documentation.
The services will include, among others:
- Support the preparation, review and management of corporate documentation, including powers of attorney, shareholders’ and board resolutions and minutes, annual accounts documentation, corporate certificates and other corporate records.
- Provide support on corporate governance matters, including the analysis of governance requirements, corporate authorities, representation and signature powers, and internal decision-making and approval processes.
- Assist with ongoing corporate and statutory matters and obligations, including coordination, where necessary, with notaries, Commercial Registries and external legal counsel.
- Review and analyse commercial contracts and other legal documents, identifying legal and contractual risks and proposing appropriate amendments or mitigating measures.
- Conduct legal research and analyse new legislation and regulatory developments potentially affecting the company, preparing legal summaries, reports and practical guidance for the business.
- Draft legal newsletters, training materials, internal guidance and other legal communications,
and support the review and adaptation of corporate policies to Spanish law.
- Support the organisation and maintenance of legal and corporate documentation and records, ensuring their accuracy, consistency and proper traceability.
- Assist in the engagement and coordination of external legal counsel, including preparation of instructions, follow-up of legal matters and administrative support related to external legal services.
- Prepare legal reports, meeting minutes, presentations and other documentation required in connection with the Legal Department's activities.
- Provide support on other legal matters arising from the company's day-to-day business, including commercial, regulatory and general corporate matters.
Background and previous experience:
- At least 1–2 years of relevant legal experience, preferably gained in the Corporate/Commercial practice of a reputable law firm. Relevant in-house experience with significant exposure to corporate and commercial matters may also be considered.
- Solid knowledge of Spanish corporate and commercial law, with practical experience in corporate matters.
- Experience in the preparation and review of corporate documentation, such as powers of attorney, shareholders’ and board resolutions and minutes, annual accounts documentation and corporate certificates.
- Familiarity with corporate governance, representation and signature powers and Commercial Registry matters will be particularly valued.
- Exposure to commercial contracts and other areas of business law will also be valued, as the role requires a generalist and flexible approach to legal matters.
Educational background (Mandatory):
- Graduate in Spain from a Reference University (Not valid Approved title from another country)
- Master's degree in access to law (or in process)
- Strong academic record.
Requirements:
- Native Spanish and excellent written and spoken English (C1 level or equivalent).
- Strong legal research, analytical and drafting skills.
- Highly organised and detail-oriented, particularly when handling corporate and legal documentation.
- Ability to work across different areas of law and manage several matters simultaneously.
- Ability to understand legal issues in their business context and provide practical support.
- Excellent written and verbal communication skills.
- Proficiency in Microsoft Office, particularly Word and PowerPoint.
- Proactive, reliable and practical approach to legal work.
