A CFD company is looking for a Lead of Corporate Governance to join its international legal team in Barcelona.

The role will focus on corporate governance, legal entity management and cross-border corporate matters within a matrix organisational structure. You will work closely with internal stakeholders, external counsel and corporate service providers across different jurisdictions.

Key Responsibilities

- Manage corporate matters across multiple jurisdictions, including incorporation, restructuring, reorganisation and liquidation of legal entities.
- Handle day-to-day corporate governance and legal entity management.
- Prepare and coordinate corporate documentation, including board and shareholder resolutions, minutes, powers of attorney, registers and other statutory documents.
- Manage corporate approvals, share transfers, share issuances, changes in share capital and other ownership-related matters.
- Coordinate corporate filings, registrations, disclosures and ongoing statutory requirements.
- Support substance requirements, including director appointments, board and shareholder meetings and related documentation.
- Develop and improve corporate governance policies, procedures, templates and internal processes.
- Support M&A; and other corporate transactions from the corporate legal perspective.




- Advise management and internal stakeholders on corporate and governance matters.
- Coordinate with local legal counsel, corporate service providers, registrars and government authorities across different jurisdictions.
- Work closely with Finance, Tax, Compliance, Risk, Licensing and other functions on cross-border corporate matters.

Requirements

- Russian language — mandatory, Fluent/professional working proficiency in English.
- Law degree required; international/Common Law background or additional legal qualifications would be a plus.
- 8+ years of experience in corporate law.
- Strong hands-on experience in corporate governance and legal entity management.
- Experience working with legal entities across multiple jurisdictions.
- Solid understanding of corporate structures, incorporations, restructurings, liquidations, corporate approvals and ownership matters.
- Practical experience preparing and managing corporate documentation and statutory records.
- Experience coordinating with external counsel, corporate service providers and local authorities.
- Good understanding of substance requirements and beneficial ownership structures.
- Experience with M&A; or other complex corporate transactions is an advantage.
- Strong international and cross-border legal experience. xkdbapo
