The Manager of Contracts Management & Warranties is responsible for establishing and operating the contract management, warranty recovery and commercial obligation framework for suppliers, vendors, subcontractors, repair suppliers and service providers.

Responsibilities include the proactive management of signed agreements including, tracking of contractual obligations, translation of supplier commitments into operational routines, and deep understanding and management of supplier warranties, claims, penalties and commercial obligations and other commercial protections. The role's key responsibility is to optimize value generated by supplier contracts by converting supplier agreements into disciplined contract governance, visible obligations, structured follow-up and effective commercial recovery mechanisms.

Contract Management Contract Framework: Lead and operate the contract management framework for external partners Contract Governance: Establish proactive partner governance including, quarterly business reviews, performance reviews, innovation sessions, contractual and obligation reviews, and escalation mechanisms.

Deviation Management: Track contractual deviations, waivers, non-standard clauses and unresolved commercial issues.

Contract Repository Discipline: Ensure contract documentation, amendments, service commitments and key commercial terms are structured, accessible and kept up to date.

Lifecycle Management: Monitor contract milestones, renewals, expirations, notice periods, renegotiation windows and contractual decision points. Warranties, Claims & Commercial Recovery Warranty Management: Work with Supplier Performance Management, Procurement, Legal, Finance, Quality and Planning & Inventory to resolve contractual and warranty-related issues.

Claims Identification: Identify and track potential warranty claims, penalties, service credits, liquidated damages,



compensation rights and other commercial recovery opportunities.

Commercial Leakage Control: Quantify and report recovered value, avoided cost, open claims, rejected claims and unresolved commercial exposure. Support internal compliance reviews related to contractual obligations, partner performance and risk. Provide contract documentation, obligation evidence and claims records for internal or external audits where required.

Performance & Risk Managament Performance Translation: Translate contractual obligations into measurable supplier performance expectations and operational KPIs.

Executive Review Input: Provide contract and warranty input into supplier governance forums, performance reviews and executive escalation meetings.

Commercial Risk Register: Maintain visibility of contractual and warranty-related risks for critical suppliers and subcontractors.

Early Warning Indicators: Provide early warning indicators on contractual exposure, repeated supplier non-compliance, missed obligations or deteriorating commercial performance.

Mitigation Planning: Define mitigation plans for contractual risks, including renegotiation, claim enforcement, escalation, alternative sourcing input or revised governance routines.

Negotiation

Support & Contract Quality Support Legal, Finance, Procurement and business stakeholders with partner performance insights to ensure new contracts contain best practices for clear governance, performance, compliance, warranty and escalation provisions.

Contract Lessons Learned: Feed recurring supplier issues, missed protections and claims experience back into future negotiations and contract templates.

Commercial Protection: Support the inclusion of appropriate liability, warranty, penalty, termination, audit, service-level and escalation clauses in supplier agreements. Ensure newly signed contracts are properly handed over into governance, performance management and operational routines.
