The SPA team provides expert support at all stages of a transaction, from pre-deal work through to post-completion support, and represents the outcome of key commercial and pricing negotiations.This is a fantastic opportunity for a Transaction Services professional who would like to become a specialist in a particular part of the deal, in this case financial SPA advice and completion accounts. Spanish language not required.The role:As an SPA Manager,



you will:Work with the financial due diligence team to understand the key risk areas and value drivers of the target business in the context of an M&A; transactionAnalyze the impact of risks and value drivers on deal pricing (headline price or other adjustments) and construct and EV to equity bridge accordinglyReview the legal transaction documents from a financial and accounting perspective including the sale and purchase agreement, shareholder agreement, disclosure letter, bid letter etc. In particular advise the client on the appropriateness of the pricing mechanic (locked box vs. completion accounts), financial indemnities and warranties and accounting definitions and principlesAnalyze a normal level of working capital of the businessWho we're looking for:4+ years' professional experience gained in a large accountancy firmSome prior experience in Transaction Services (financial due diligence)Fluent English (Spanish language skills desirable but not essential)
