FUNCTIONS AND RESPONSIBILITIES
We are looking for a hands-on Corporate Legal Manager to manage the day-to-day legal and contractual operations at Busup’s headquarters. This is a pivotal corporate position with absolute ownership of headquarters' operations and a clear, structured path toward global legal management. Set within a dynamic, fast-paced, international, and multicultural working environment, this role is focused on handling our core corporate needs first, with the opportunity to gradually support our international markets (Portugal, Brazil, Mexico, and the United States) as the business grows.
As a standalone role, this position is adecuado for a mid-to-senior legal professional who enjoys execution and organizing daily workflows, offering real career progression opportunities to actively design, build, and eventually lead the legal department as the business scales. You will take care of our routine legal and compliance tasks at the HQ level, ensuring smooth and secure daily operations. Serving as the main point of contact for the Legal-Admin area, your initial focus will be on reviewing commercial contracts, supporting the Technology and Product teams with agreements, and assisting with corporate maintenance.
International tasks and coordination with external local firms will be introduced progressively as you settle into the role.
CORE RESPONSIBILITIES
- Legal Operations & Contract Management
- Provide day-to-day corporate legal advice to headquarters' business units (Commercial, Operations, Finance, Marketing).
- Draft, review, and negotiate a wide array of commercial contracts including Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), vendor agreements, and strategic partnerships.
- Provide dedicated, cross-functional legal support to the global Technology and Product teams, managing software licensing, intellectual property clauses, and data processing agreements.
- Build a standardized master template framework from HQ to streamline future international contracting.
- Corporate Governance & Subsidiary Oversight
- Manage corporate governance, secretarial duties, and legal affairs for the parent company (minutes, board resolutions, notary coordination).
- Gradually assume control and oversight of international subsidiaries, ensuring legal alignment between HQ and regional entities.
- Identify, coordinate, and supervise local external law firms across international markets when highly specialized, country-specific legal intervention is required.
- Compliance, Privacy & Risk Management
- Establish, implement, and monitor core corporate compliance policies (e.g., anti-bribery, ethical codes, internal risk protocols).
- Ensure full data privacy compliance under GDPR and LOPD regulations across all digital products, platform developments, and corporate operations.
- Manage the company’s corporate insurance portfolio, ensuring appropriate coverage limits for civil liability and cross-border commercial transactions.
- Maintain direct relations and handle communications with regulatory bodies and public authorities where legally required.
- Process Optimization & Legal-Tech Innovation
- Drive continuous process optimization within the legal function to improve contract turnaround times and commercial execution speed.
- Actively explore, implement, and leverage AI tools and advanced legal-tech solutions to automate document review, accelerate drafting, and optimize legal research.
WHAT YOU BRING
Required
- Education: Bachelor’s Degree in Law
- Experience: 5 to 8 years of solid, hands-on experience as an attorney or in-house legal counsel, combining corporate environments and/or reputable law firms.
- Expertise: Deep, proven foundation in commercial contracting, corporate law, and corporate secretarial management.
- Vendor Management: Prior exposure to procurement processes, vendor management, or complex commercial negotiations.
- Languages: Full professional fluency in Spanish and English (mandatory for reviewing technology licenses and managing international communications).
- Mindset: Highly practical, business-oriented approach with a strong capacity for autonomous problem-solving and proactive risk mitigation.
- Tech Literacy: Tech-savvy profile with a strong openness or active experience in utilizing AI tools to enhance operational efficiency.
Nice to have
- Postgraduate specialization or Master’s degree in Business Law, Digital Law, or Corporate Legal Advisory.
- Prior exposure to multi-jurisdictional frameworks, specifically handling or working alongside LATAM or Brazilian operations.
- Basic working knowledge or conversational proficiency in Portuguese.
- Previous professional experience in high-growth companies, technology startups, or the mobility, logistics, and transportation sectors.
