Key Responsibilities:
1. Serve as an Independent Director on the Company's Board, exercising objective, independent judgement free from conflicts of interest with management, shareholders or third parties.
2. Contribute specialist knowledge of Spanish payment institutions and electronic money institutions (EMIs) to Board discussions on strategy, licensing, prudential requirements and regulatory relationships with the Banco de España.
3. Review and challenge the Company's compliance with the initial capital, own funds and safeguarding requirements applicable to EMIs under Ley 21/2011, de 26 de julio, de dinero electrónico, and its implementing regulation, Real Decreto 778/2012.
4. Provide independent oversight of the Company's cross-border payments business, including correspondent banking arrangements, payment corridors, FX exposure and international regulatory considerations.
5. Assess and montor the effectiveness of the Company's governance framework, internal controls and three-lines-of-defence model, raising concerns with the Board and senior management as needed.
6. Support the Board in its dealings with the Banco de España, SEPBLAC and other regulators, including participation in supervisory meetings and reviews where relevant.
7. Contribute to succession planning and the performance evaluation of the CEO and other key function holders (Altos Cargos).
8. Maintain independence and objectivity throughout the term of appointment, promptly disclosing any presente or potential conflicts of interest to the Board.
9. Maintain up-to-date knowledge of relevant regulations (Ley 21/2011,
Real Decreto 778/2012, PSD2/PSD3, EMD2, AML/CFT framework) and corporate governance best practices applicable to EMIs.
Qualifications & Experience
1. Bachelor's or Master's degree in Law, Finance, Economics, Business Administration or a related field.
2. Minimum 10 years of senior experience in the financial services sector, with substantial and demonstrable experience at a Spanish payment institution and/or electronic money institution (EMI), or in a comparable regulated entity supervised by the Banco de España.
3. Proven experience in cross-border payments, international money transfer, correspondent banking or related payment infrastructure.
4. Strong understanding of the Spanish and EU regulatory framework applicable to payment and e-money institutions, including Banco de España prudential, safeguarding and outsourcing requirements.
5. Prior board-level or senior committee experience (e.g. Audit, Risk, Nomination and Remuneration Committees) is highly desirable.
6. Demonstrated independence from the Company, its management, major shareholders and business partners, in accordance with applicable independence criteria for non-executive/independent directors.
7. Meets the needs of honourability, knowledge and experience ("idoneidad") requirements to be registered as an Independent Director / "Alto Cargo" with the Banco de España.
8. Fluently speaking in Spanish and English; excellent communication and stakeholder management skills. Mandarin Chinese is a plus.
