Kerval Advisory Partners ("Kerval" or "KAP") is an independent strategic and financial advisory firm for companies, investors and organizations with a focus on the middle market.
We offer advisory services related to the definition of corporate strategy and value management as well as the execution of transactions and financing operations, as well as providing continuous support to general and financial management.
Mergers and Acquisitions (M&A;).
Our support covers all phases of the business life cycle, starting from the initial phases, through the growth stages as well as crisis management and restructuring.
Through our membership with the ECOVIS International network in more than 90 countries, we accompany our clients nationally and internationally by providing coverage in more than 90 countries with Audit, Accounting, Tax, Legal and Financial Advisory services.
As part of the firm's growth plan, we are looking to incorporate a Director/Managing Director to work in the Corporate Finance team advising clients on S&V;, M&A;, CS&R.;
The Director/MD will serve as a key leader in the execution of M&A; transactions, Valuation and Capital advisory mandates, supporting business development and origination efforts, working closely with clients and cross-functional partners. The Director/MD is expected to independently manage live transactions end-to-end and business development initiatives while mentoring junior bankers.
This professional will also support clients with capital structuring, along with capital raising efforts, across a broad range of topics, including M&A;, corporate separations/optimizations, refinancing, and other advisory projects.
This person will also actively participate in the definition and monitoring of the firm's strategy at every level (i.e. market, clients, technology, team).
We are looking for a strongly driven professional with the capacity to operate autonomously, and with the ambition to become a partner of the firm in the short term, contributing to its overall success.
Lead the execution of multiple mergers and acquisitions transactions concurrently, including acquisitions, divestitures, mergers, strategic alternatives reviews, and other advisory assignments, serving as the primary execution lead responsible for coordinating transaction workstreams, managing timelines, and ensuring high-quality execution.
Manage day-to-day transaction processes, including running due diligence processes, reviewing and commenting on legal documents, negotiating transactions, obtaining internal approvals, and proactively identifying and resolving execution issues to ensure adherence to client timelines.
Develop and review complex financial analyses, including merger models, discounted cash flow analyses, LBO analyses, accretion/dilution analyses, and other transaction-related work products.
Lead the preparation of client presentations, board materials, fairness opinion analyses, and other strategic advisory deliverables, and present these materials to clients and internal teams at meetings and on conference calls.
Effectively manage, mentor, and develop VPs, Associates and Analysts, providing clear direction and timely feedback, reviewing and quality-controlling work product, allocating resources efficiently across transactions, supporting their technical growth and professional development.
Conduct industry, company,
and market analysis to support transaction execution and client engagement activities.
Coordinate closely with other business areas leaders within the firm to deliver integrated client solutions.
Work closely with senior management to identify opportunities, generate strategic ideas, and support business development and client coverage efforts.
Support recruiting, training, and talent development initiatives within the corporate finance business.
Bachelor's degree in business administration, Economics, Engineering or similar.
Postgraduate studies as well as international certifications in finance (i.e. CFA, CAIA) will be considered a plus.
Professional experience of +10 years in corporate finance, of which +5 years should have been in M&A; advisory.
Proficiency level in English for conversation, writing and reading.
Strong understanding of mergers and acquisitions transactions and various valuation methodologies including DCF, LBO, accretion / dilution analysis, sum-of-the-parts analysis, public trading comparables, precedent transactions.
Advanced financial modeling and analytical capabilities.
