Nexwell Power is an independent power producer developing, financing, building and operating utility-scale solar PV and battery storage in Spain. As the platform moves from development into a financed, operating and rotating asset base, Nexwell Power is hiring a VP to lead transaction execution on the capital side non-recourse debt, acquisitions, disposals and co-investment.

Responsibilities
- Lead the execution of project and portfolio financings for solar PV, standalone BESS and hybrid assets non-recourse project finance, mini-perm and holdco facilities, construction-to-term structures and refinancings.
- Run competitive lender processes with Spanish and international banks, debt funds, private credit and institutional lenders; prepare information memoranda and lender packs; negotiate term sheets to close.
- Negotiate credit agreements, security and hedging packages alongside external counsel, including DSCR and gearing sizing, cash sweeps, lock-ups, merchant tails and covenants.
- Execute buy-side and sell-side M&A;: RTB and operating asset acquisitions,



farm-downs and capital rotation, JV and co-investment structures from NBO through SPA and completion.
- Own valuation and financial modelling: DCF and comparable-transaction analysis at asset, portfolio and platform level.
- Direct commercial, financial, tax, legal, technical and grid due diligence, and translate findings into price, SPA protections and conditions precedent.
- Assess PPAs, tolling and floor agreements and capacity market participation for bankability, and manage interest rate and power price hedging strategy.
- Coordinate lender advisers and internal teams (Development, Construction, Asset Management, Legal, Tax, Trading) to hold committed closing dates.
- Prepare Investment Committee and Board material with a clear recommendation and a clear downside case.
- Mentor analysts and set modelling and process standards across the team.
