As General Counsel, your mission is to protect the Group, facilitate and accelerate business growth, and create value by proactively managing contractual, regulatory, and reputational risks in all countries where the Group operates.
Responsibilities
- You define your department’s strategy and objectives in alignment with the group’s strategy and ensure their implementation across all entities.
- You manage the department’s overall performance by relying on key performance indicators, ensuring activity reporting, and implementing the necessary actions.
- You provide legal advice and guidance to management on complex issues.
- You serve as the primary point of contact for all departments regarding legal and compliance matters.
- You monitor legal and regulatory developments and draft opinions, procedures, and recommendations for the relevant departments.
- You draft, review, and negotiate the company’s contracts, actively supporting the sales department to foster business growth.
- You manage disputes and claims involving the Group in collaboration with outside counsel, and provide follow-up and reporting to management.
- You oversee corporate housekeeping and the management of M&A; transactions or agreements, including drafting, reviewing, negotiating, and implementing them.
- You help implement an intellectual property legal strategy, including tools and training to protect the Group’s rights.
- You develop and improve the company’s corporate governance policies and procedures.
- You manage the insurance portfolio and the risks covered, in coordination with brokers.
- You develop and maintain the Group’s contract databases and train sales teams on their roles and responsibilities.
- You contribute to the Group’s international expansion by protecting its interests, complying with local and international laws, and participating in the structuring, due diligence, and integration of local entities.
Profile
- You have a Master’s degree in law or have equivalent experience.
- You have at least 10 years of experience in a similar role.
- You have experience in the pharmaceutical industry, medical devices, or a related field.
- You have proven experience drafting and negotiating commercial contracts.
- You have a good understanding of intellectual property (IP) issues.
- You are fluent in English.
- You have strong negotiation skills and are able to explain complex topics in simple terms.
- You have a strategic mindset, are proactive, and are solution-oriented.
- You exercise discretion and maintain confidentiality when handling and managing information.
