ph3Job Description Summary /h3 pPwC Spain is the top financial advisor for MA deals in Spain and is seeking a Manager to join the SPA (Sales and Purchase Agreement) Financial Advisor Team based in Madrid. The SPA team is part of PwC's Transaction Services practice. We have advised on over 200 deals in the past five years, representing corporate and private equity clients, and offer end‑to‑end deal assistance from pre‑deal to post‑completion. /p ul liRecommendations regarding preferred pricing mechanism: locked box vs completion accounts. /li liIdentification and analysis of key items in price negotiations: ul liAnalyzing buyer and seller views and arguments in negotiations on debt, cash, and working capital items. /li liDetermining financial parameters (target working capital, cash, restricted cash, net debt, working capital, etc). /li /ul /li liAdvice on the preparation of completion accounts.



/li liAdvice and assistance in understanding the post‑completion process. /li liAssistance as an independent expert in case of disagreement between buyer and seller regarding completion accounts. /li /ul h3Requirements /h3 ul liDegree in Business / Economics / Engineering. /li liFluent in English and Spanish (day‑to‑day work would be mainly in English). /li li+5 years of experience in financial due diligence or audit, with demonstrable end‑to‑end deal experience across the MA lifecycle (buy‑ and sell‑side). /li liExcel, Power BI and Alteryx skills. /li liStrong analytical skills and commercial awareness. /li liStrong interpersonal skills. /li liWorking international experience is a plus. /li /ul /p #J-18808-Ljbffr
