Legal counsel will provide, under the supervision of Legal Director and in close cooperation with other Legal Counsels, legal support to all Werfen subsidiaries and business units, protecting and enforcing key rights, facilitating business transactions, providing continued preventative legal advice and defending Werfen’ interests in order to mitigate legal risks.

Key Accountabilities

Provide recurrent legal support to the business units, including:

• With regard to Corporate Governance matters:

- Monitoring and implementation of Werfen Corporate Governance Policies regarding powers of attorney, governing bodies and safekeeping of corporate documentation.
- Deliver trainings to Werfen relevant stakeholders on Werfen Corporate Governance Policies.
- Monitoring compliance with legal obligations of Werfen subsidiaries and coordination with external counsels.
- Preparation of recurring documentation of a corporate nature (minutes of meetings, financial statements, etc.).
- Handling the incorporation, merger, winding up, spin-off and any other corporate’ reorganization.

• Drafting, review, negotiation and provision of recurrent legal advice in relation to all kind of contracts such as those related to financing, logistics, services’ provision, procurement, confidentiality, consultancy and real estate.

Networking/Key relationships





To be determined based on department needs, to include interactions with such as:

Cooperation with all corporate departments (such as Finance & Control, Tax, Compliance, QA/RA, Internal Audit, IT, Logistics, HR, etc.) as well as with the General Managers, Controllers and department managers of Werfen subsidiaries.

Minimum Knowledge & Experience required for the position:

- Education : Law Degree. Master will be a plus.
- Experience:
- At least 3/4 years of proven experience in commercial and corporate law, either at a large law firm or at a big or medium-sized multinational company.

- Additional Skills/Knowledge:

- Sound legal knowledge.
- Language: English proficiency.
