As Senior Corporate Governance Counsel, you will strengthen governance across the Group, collaborating with the Head of Legal Governance and international teams. You’ll shape governance standards, support legal entity management, and drive process improvements, including AI-enabled initiatives. The role offers hybrid work (up to 40% remote) and a path for growth in a dynamic, cross-border environment. You will help ensure coordinated, efficient governance of all entities while delivering practical solutions to complex governance challenges.
Compensaciones / Ventajas
• Support the Company Secretary and Assistant Company Secretary in board meetings scheduling, minutes, and information flow per internal rules; manage related notarial, filing, and registry formalities
• Advise on governance of legal entities (established, acquired, divested, reorganized, and in JVs), review governance documents (Articles of Association, Organization Rules, Competency Rules)
• Provide guidance on signature authority and develop related policies and processes
• Create and maintain governance templates and improve governance workflows; lead governance projects and AI-based process improvements
• Maintain document management and SharePoint structures; draft memos, prepare presentations, and deliver stakeholder training
• Draft powers of attorney and support notarial and registration processes
• Collaborate across functions and jurisdictions to deliver practical governance solutions and standardize processes for all Group entities
• Contribute to strategic projects related to legal entities and governance
Responsabilidades
• A minimum of 5 years of corporate governance experience in Spain
• Experience establishing standards xqbhyrx and processes across a group of entities in different jurisdictions
• Clear writing, structured approach, ability to translate complex topics into practical solutions
• Team player with collaborative skills, attention to detail and pragmatism; values simplicity
• Discretion and efficiency; openness to continuous learning and feedback
• Proficiency in Microsoft Excel, PowerPoint, Word; comfort with AI tools
• Fluent in English and Spanish
